This Master Services Agreement ("MSA") defines the framework terms governing services provided by Sinais LLC ("Provider") to the customer ("Client") in connection with Decision-APM and related professional services.

Scope and Ordering Documents
Specific services, pricing, and commercial commitments are defined in ordering documents, statements of work, or invoices that reference this MSA.

Roles and Responsibilities
Provider is responsible for operating and supporting the contracted services. Client is responsible for authorized use, data accuracy, and internal access management for its users.

Security, Availability, Processing Integrity, and Confidentiality
The parties acknowledge shared responsibilities for internal controls impacting Security, Availability, Processing Integrity, and Confidentiality. Provider maintains technical and organizational safeguards, while Client maintains appropriate controls over user access, data input quality, and lawful data use.

Data Protection
Where applicable, data protection obligations are governed by the customer agreement and the Data Processing Addendum available at /data-processing-addendum.

Subprocessors
Provider may use subprocessors to deliver services. The current list is available at /subprocessors.

Fees and Invoicing
Fees are invoiced under the applicable ordering document or invoice. Decision-APM does not process subscription payments in-app.

Term, Termination, and Survival
Term and termination conditions are defined in the applicable ordering documents. Confidentiality, payment obligations, and other provisions intended to survive will remain in effect after termination.

Governing Law and Disputes
Governing law, venue, and dispute resolution are defined in the applicable ordering document or separately executed agreement.
